By accessing or using the research, content, or services provided by Kaipsul LLC ("Kaipsul," "we," "us," or "our"), you agree to be bound by these Terms of Service.

Kaipsul operates as an independent research laboratory focused on artificial intelligence and law. We provide research, content, and services.

3. Status Disclosure; No Regulated Professional Services

Kaipsul is not a law firm and does not engage in the practice of law or regulated professional services.

Kaipsul LLC operates as an independent commercial research laboratory. Kaipsul is not a law firm, does not provide legal representation, and does not engage in the practice of law. Nothing provided by Kaipsul constitutes legal advice or the provision of regulated professional services. Principals of Kaipsul (including Matthew N. Shatanof, J.D.) act solely as Technical Researchers and Systems Architects in this capacity, not as attorneys for the user.

4. Educational Content

4.1 Research Demonstration

Kaipsul produces educational content as research demonstrations. This content is a supplementary study aid and is NOT a substitute for a comprehensive bar review course or formal legal education.

4.2 No Guarantee of Results

KAIPSUL MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING YOUR PERFORMANCE ON ANY EXAMINATION, INCLUDING THE UNIFORM BAR EXAMINATION (UBE), THE MULTISTATE BAR EXAMINATION (MBE), OR ANY STATE BAR EXAM.

Admission to the bar is subject to character and fitness requirements and passing scores which vary by jurisdiction. You rely on this content at your own risk. Past performance of any algorithm or user is not indicative of future results.

5. Synthetic Media & Educational Parody

5.1 Parody Content

Audio content is generated using synthetic voice technology. This content constitutes parody for educational, informational, and entertainment purposes.

5.2 No Endorsement or Affiliation

Audio content does not reflect actual statements by any person. No endorsement or affiliation is intended or should be inferred.

6. Software and Tools

6.1 General Provisions

All Kaipsul software, utilities, and browser-based tools are provided "as-is" for research and evaluation purposes without warranties of any kind, express or implied. We make no representations regarding accuracy, completeness, or fitness for any particular purpose. Users acknowledge that outputs may be approximate and should not be relied upon as a substitute for source materials or professional judgment.

6.2 Prohibited Reliance

Due to the probabilistic and approximate nature of Kaipsul software and tools, users agree not to rely on any output for compliance with professional or statutory obligations.

7. User Responsibility

Users of Kaipsul's research, content, and services bear sole responsibility for:

• All professional obligations, decisions, and actions taken by the User.

8. Research and Publications

Kaipsul may, but is not obligated to, produce research papers and technical literature. All such documents are provided for informational purposes only. 9. Commercial Strategy & Consulting Rights

Kaipsul reserves the right to offer B2B technical strategy and architectural consulting. You acknowledge that such services constitute technical consulting and do not constitute regulated legal services. Kaipsul expressly reserves the right to monetize its research, software, content, or methodologies through licensing or other commercial models in the future.

10. User Conduct

You agree not to use our research, content, or services for unlawful purposes or misrepresent the nature of the output as verified fact.

11. Intellectual Property

All research, content, and services are protected by copyright. Kaipsul and associated marks are trademarks of Kaipsul LLC.

12. Regulated Professions

Licensed professionals in regulated fields maintain sole responsibility for compliance with professional licensing requirements and professional standards.

13. Limitation of Liability

To the maximum extent permitted by law:

Kaipsul LLC and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of our research, content, or services.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF KAIPSUL LLC EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID KAIPSUL, IF ANY, IN THE PAST TWELVE MONTHS.

14. Indemnification

You agree to indemnify and hold harmless Kaipsul LLC from claims arising from your use of our research, content, or services.

15. Privacy

Data collection and use are governed by our Privacy Policy, which is incorporated by reference into these Terms of Service.

16. Modifications

We reserve the right to modify these Terms of Service at any time. Changes will be posted with an updated "Last Updated" date. Continued use constitutes acceptance of modified terms.

17. Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Dispute Resolution: Any dispute arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The venue shall be in the State of Florida.

Class Action Waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration. You agree to litigate only in your individual capacity.

Opt-Out: You may opt out of the arbitration and class action waiver provisions by sending written notice to info@kaipsul.com within thirty (30) days of first accepting these Terms. Your notice must include your name and a clear statement that you wish to opt out. If you opt out, you and Kaipsul agree to submit to the exclusive jurisdiction of the state and federal courts located in Florida for resolution of any disputes.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any separate written agreements, constitute the entire agreement between you and Kaipsul LLC.
